1. ACKNOWLEDGEMENT AND ACCEPTANCE OF TERMS OF
SERVICE.
Internal Fixation Systems provides an online medical information service for this
Website (the Domain Service) for physicians, health care professionals and patients.
The Domain Service is owned and operated by Internal Fixation Systems and is provided
under the terms and conditions of these Terms of Use and any operating rules, policies,
and procedures that may be published from time to time on the Website by Internal
Fixation Systems (collectively, the Terms). "Subscribing Practice" means the Practice
(as defined in Section 2 below) presenting this Website.
BY USING THE DOMAIN SERVICE, YOU ARE INDICATING
YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS. IF YOU DO NOT AGREE TO ALL OF THE
TERMS, DO NOT ACCESS THE DOMAIN SERVICE.
2. ELIGIBILITY FOR MEMBERSHIP.
The Domain Service is available to hospitals, clinics, medical practices,
and other business entities (each, a Practice) that can form legally binding contracts
under applicable law. The Domain Service is also available to health care professionals
affiliated with the Practices (Health Care Professionals) and patients within each
Practice (collectively, Members). If you do not qualify, please do not attempt to
use the Domain Service. In the event that a Health Care Professional is no longer
an authorized representative of the Practice, (whether due to termination of employment
or otherwise), the Practice shall notify Internal Fixation Systems immediately and
in writing, of the removal of such Health Care Professional as a Member, as well
as the effective date of any such renewal or appointment. Upon issuance of a reply
notice by Internal Fixation Systems acknowledging the change in Internal Fixation
Systems's authorization records, such former Health Care Professional shall no longer
be deemed to be a Member. Internal Fixation Systems will be entitled to rely on
any notice received by it from a Practice. Internal Fixation Systems may refuse
to offer its Domain Service to anyone and may change its criteria for Membership,
at any time, in its sole discretion.
3. REGISTRATION.
In order to participate in the Domain Service, the Member must: (1) provide all
equipment, including a computer and modem, necessary to establish a connection to
the World Wide Web; (2) provide for Member's own access to the World Wide Web; (3)
pay any telephone or other service fees associated with such access; (4) provide
certain current, complete, and accurate information about Member as prompted to
do so by the sign up process; and (5) maintain and update such registration information
(Member Profile) as required to keep such information current, complete and accurate.
If any information that Member provides in its Member Profile is untrue, inaccurate,
not current or incomplete, Internal Fixation Systems retains the right to terminate
Member's account and Member's rights to use the Domain Service.
4. MEMBERS, PASSWORD AND SECURITY, SECURITY OF
PASSWORDS.
Access to and use of the Domain Service is through a combination of a unique user
name and a password (collectively, ID). Each Member will choose his or her own unique
ID. Each Member is responsible for maintaining the confidentiality of his or her
own ID. Furthermore, each Member is entirely responsible for any and all activities
that occur with the use of his or her ID, and a Practice is entirely responsible
for any and all activities of its Members. Member agrees to immediately notify Internal
Fixation Systems of any unauthorized use of the Domain Service or a Member's account
(including unauthorized use of an ID by any employee, agent, or representative of
the Practice who is not is a Member) or any other breach of security known to Member,
it being understood that the Member's knowledge shall be imputed to the Practice.
Unauthorized access to the Domain Service, or to the telecommunications or computer
facilities used to deliver the Domain Service, is a breach of the Terms and is a
violation of law. You are responsible for taking all reasonable steps to ensure
that no unauthorized person shall access the Website by using your password. It
is your sole responsibility to: (1) control the dissemination and use of your password;
(2) authorize, monitor, and control access to and use of the Website by your password;
(3) promptly inform Internal Fixation Systems of any need to deactivate your password
or of any unauthorized use of your password.
5. PRIVACY POLICY
The Member Profile and other information about Member will be treated in accordance
with Internal Fixation Systems's privacy policy located on the Website. In addition
to the restrictions on disclosure of Registration Data as set forth in Internal
Fixation Systems's Privacy Policy, Internal Fixation Systems will not disclose any
personally identifiable information about a Member unless authorized by that Member
or unless Internal Fixation Systems is required to do so by law or in the good faith
belief that such action is necessary to: (1) conform with applicable laws or comply
with legal process served on Internal Fixation Systems; (2) protect and defend the
rights or property of Internal Fixation Systems; or (3) enforce these Terms.
